Terms of Service

1. Acceptance of Terms

By creating an account or using TradeDonor software, you agree to these Terms of Service. If you do not agree, do not use the service.

2. Description of Service

TradeDonor provides trading-operations software, including the APEX Execution Agent, a MetaTrader 5 Expert Advisor (EA) software component that operates according to member-configured permissions, strategies, controls, and risk limits. The platform also includes a cloud dashboard for monitoring account activity and EA performance across supported terminals. TradeDonor is a software provider. It is not a broker, money manager, or investment adviser, and it does not trade on your behalf beyond the authority and scope you configure. The service is provided on a subscription basis following a 14-day trial.

3. Accounts & Eligibility

• You must be at least 18 years old to use TradeDonor.
• You are responsible for maintaining the security of your account credentials.
• One account per person. Do not share your license keys.
• You must provide accurate information during registration.

4. Trial & Subscriptions

• New accounts start a 14-day trial on the Pro plan, with full access to the platform and every Pro feature.
• A payment method is required to start the trial. You are not charged during the 14-day trial, and your selected plan begins automatically when the trial ends unless you cancel before it converts.
• When the trial ends, your Pro subscription begins automatically, or you can upgrade to Executive. Cancel before it converts if you do not wish to continue.
• Subscriptions are offered on quarterly or annual billing cycles, with annual as the default. Subscription pricing is displayed on the upgrade page at the time of purchase.
• You may cancel at any time. Cancellation takes effect at the end of the current billing period.
• No refunds are issued for partial subscription periods unless required by applicable law.

5. License Terms

• Your license is personal and non-transferable.
• EA software may be activated on a limited number of machines as defined by your license policy.
• You may not resell, reverse-engineer, decompile, or redistribute TradeDonor software.
• License keys that expire or are deactivated will prevent EA operation.

6. Acceptable Use

You agree not to:

• Attempt to bypass license verification or tamper with EA code.
• Use TradeDonor in a manner that violates your broker's terms of service.
• Abuse the platform through automated attacks, scraping, or API flooding.
• Impersonate other users or misrepresent your identity.

7. No Financial Advice, No Guarantee

TradeDonor is a software tool. It is not a licensed or registered investment adviser, broker, or money manager. Nothing on this platform constitutes financial, investment, or trading advice. Past performance of any strategy, preset, or Execution Agent does not indicate or guarantee future results.

TradeDonor does not guarantee profits and does not promise that any account will reach a target, stay within a limit, or pass any evaluation. The APEX Execution Agent does not independently promise, predict, or determine profitable trades. It applies the permissions, strategies, controls, and risk limits you configure, on a best-effort basis, and member-authorized automation may execute or manage trading actions only within the authority and scope you set.

You remain solely responsible for your trading decisions, your strategies, your connected accounts, the permissions you grant, and your use of the software. You may change or revoke that authority at any time.

8. Limitation of Liability

To the fullest extent permitted by law, TradeDonor and its operators shall not be liable for any direct, indirect, incidental, or consequential damages arising from:

• Trading losses incurred while using TradeDonor EAs.
• Platform downtime, data errors, or service interruptions.
• Broker-side issues, slippage, or execution failures.

Our total liability to you in any calendar month shall not exceed the subscription fees paid in that month.

9. Suspension, Termination & Deletion

We may suspend an account for billing, security, or administrative reasons, or where these terms are violated. Suspension pauses access and any connected automation without destroying your data. Any provisioned compute (such as a managed VPS) is suspended, not immediately destroyed, and is held for a short grace period before removal.

You may request deletion of your account at any time from your privacy settings or by contacting support. A deletion request deactivates your account and starts a 30-day restoration window during which you can recover it. After that window, your personal data is permanently removed, except records we are required to retain by law (see the Privacy Policy for retention detail). Restoring an account does not automatically resume billing or live trading, which remain separate, deliberate steps.

10. Changes to Terms

We may update these Terms. We will notify you by email 14 days before material changes take effect. Continued use after changes constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.
